* Monthly Sponsorship Plans: Sponsorship benefits shall remain in effect for a period of eleven (11) consecutive months following the initial payment, subject to the terms and conditions of the sponsorship agreement, provided that all subsequent monthly payments are made in full and on time. Cancellation, non-payment, or termination of the monthly sponsorship plan by the sponsor will result in the immediate forfeiture of all remaining sponsorship benefits. No refunds, whether full or prorated, shall be issued under any circumstances
** Ticket Usage: The total number of tickets allocated under this sponsorship is the maximum amount available for use within the sponsorship term and may be applied in full to a single event or distributed across multiple events during the sponsorship year. Unused tickets will not carry over into subsequent years and have no cash value.
Limitation of Liability: To the fullest extent permitted by applicable law, The Foundation for Manalapan-Englishtwon Regional Schools ("The Foundation"), its officers, directors, employees, agents, volunteers, and affiliates (collectively, the “Released Parties”) shall not be liable to any sponsor, nor to any such sponsor’s owners, officers, directors, employees, agents, successors, or assigns, for any indirect, special, incidental, punitive, exemplary, or consequential damages of any kind—including, without limitation, lost profits, lost business opportunities, loss of goodwill, or loss of data—arising out of or relating in any way to: (i) the sponsorship agreement; (ii) the sponsor’s participation in, or anticipated participation in, any event, program, or activity promoted or conducted by The Foundation; or (iii) any change, postponement, rescheduling, relocation, or cancellation of such event, program, or activity, whether announced or unannounced, regardless of the cause and even if the Released Parties have been advised of the possibility of such damages.
Sponsorship Disclaimer: Except as otherwise set forth therein, all sponsorship agreements shall be valid for a term of one (1) year commencing on the date of execution. During this term, sponsors shall be entitled to all benefits associated with their sponsorship level for scheduled events. Notwithstanding the foregoing, all events, including but not limited to their dates, locations, and formats, are subject to change or cancellation at the sole discretion of The Foundation for Manalapan-Englishtown Regional Schools (“The Foundation”) without prior notice. No guarantees are made regarding the number, timing, or nature of such events. In no event shall the Foundation be deemed in default of, or held liable for any delay in performing, or failure to perform, any duty, obligation, covenant, or undertaking set forth in the sponsorship agreement if and to the extent that such delay or failure is caused, directly or indirectly, by an event or circumstance beyond the reasonable control of the Foundation (a “Force Majeure Event”), including, without limitation, any act of God; flood; fire; lightning; explosion; earthquake; storm; hurricane; tornado; drought; extreme heat or cold; epidemic; pandemic; communicable disease outbreak; public health emergency; war (declared or undeclared); armed conflict; invasion; hostilities; terrorist act; civil commotion; riot; strike; lock-out; industrial or labor dispute; sabotage; embargo; blockade; governmental order, law, regulation, sanction, or restraint; shortage or unavailability of labor, fuel, raw materials, or transportation facilities; breakdown of plant, machinery, or equipment; power failure; interruption or failure of utility or communications service; cyberattack; or any other cause or circumstance, whether similar or dissimilar to the foregoing, that was not reasonably foreseeable and is beyond the reasonable control of the Foundation.
